SECTION 1 - AGREEMENT TO TERMS

These Terms and Conditions (“Terms”) govern your access to and use of the website https://hilms.pro (“Site”) and the purchase of software licenses for the HILMS Learning Management System (“HILMS”, “Software”, “Service”) offered by hilms.pro.

By accessing the Site, placing an order, or using a license issued by us, you agree to be bound by these Terms, our Privacy Policy, and our Refund and Returns Policy. If you do not agree, do not use the Site or purchase a license.

You must be at least 18 years of age, or the age of majority in your jurisdiction, to purchase or use our Service.

SECTION 2 - DESCRIPTION OF SERVICE

hilms.pro provides:

• Marketing and sale of HILMS software licenses (Monthly, Yearly, and Lifetime plans)
• License verification and software update services via our license server
• Download access to the HILMS installer package after successful payment

HILMS is self-hosted software. You are responsible for installing and operating it on your own web hosting (e.g. Hostinger), domain, and database. We do not host your LMS, your student data, or your course content on our servers as part of the standard license.

SECTION 3 - LICENSE GRANT AND RESTRICTIONS

License grant

Upon successful payment and for the duration of your active plan, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use one copy of HILMS on the single domain you registered at checkout, subject to these Terms.

Restrictions

You may not, without our prior written consent:

• Use one license on more than one domain or share a license key with others
• Resell, sublicense, rent, or redistribute HILMS or your license key
• Remove or circumvent license verification or update mechanisms
• Reverse engineer, decompile, or attempt to extract the source code except as permitted by law
• Use HILMS for unlawful purposes or in violation of applicable regulations

We may suspend or revoke a license if we reasonably believe these Terms have been violated.

SECTION 4 - PLANS, BILLING, AND RENEWAL

Plan features and prices are displayed on the Site at the time of purchase. Prices are in Indian Rupees (INR) unless stated otherwise and are processed via Razorpay.

• Monthly and Yearly: Access continues until the end of the paid period. When the period ends, the license expires unless you renew by purchasing again.
• Lifetime: One-time payment grants ongoing access for the licensed domain, subject to these Terms and continued operation of our license services.

You are responsible for providing accurate checkout information, including your name, email, and registered domain. The domain must match the domain on which HILMS is installed for license verification to succeed.

SECTION 5 - PAYMENTS

Payments are processed by Razorpay. By paying, you also agree to Razorpay’s applicable terms. We do not store full card details on our servers.

Refunds are handled according to our Refund and Returns Policy. Nothing in these Terms limits your statutory rights where applicable.

SECTION 6 - SOFTWARE UPDATES AND SUPPORT

While your license is active, you may receive software updates made available through our update server, subject to your plan and our release policy. We do not guarantee uninterrupted availability of the license or update servers.

Support is provided on a reasonable-efforts basis via support@hilms.pro. Response times may vary by plan. We are not responsible for issues arising from your hosting environment, third-party plugins, or custom code changes.

SECTION 7 - YOUR RESPONSIBILITIES

You are solely responsible for:

• Your Hostinger (or other) hosting account, domain, DNS, and SSL configuration
• Database setup, backups, and security of your installation
• Content you and your users create, publish, or store in HILMS
• Compliance with laws applicable to your academy, students, and data (including privacy and education regulations)
• Keeping your license key confidential

SECTION 8 - INTELLECTUAL PROPERTY

HILMS, the hilms.pro brand, website content, documentation, and related materials are owned by us or our licensors and are protected by copyright and other intellectual property laws.

These Terms do not transfer ownership of the Software to you. You receive only the limited license described above. Your own course content and data remain yours.

SECTION 9 - DISCLAIMER OF WARRANTIES

The Site and Software are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be error-free, uninterrupted, or compatible with every hosting configuration. You use HILMS at your own risk.

SECTION 10 - LIMITATION OF LIABILITY

To the maximum extent permitted by law, hilms.pro and its owners, officers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunity, arising from your use of the Site or Software.

Our total liability for any claim relating to the Service shall not exceed the amount you paid to us for the license in the twelve (12) months preceding the claim, or the amount paid for a lifetime license if applicable.

SECTION 11 - INDEMNIFICATION

You agree to indemnify and hold harmless hilms.pro from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of HILMS, your content, your breach of these Terms, or violation of any law or third-party rights.

SECTION 12 - TERMINATION

We may suspend or terminate your license immediately if you breach these Terms, fail to pay applicable fees, or if required by law. Upon termination or expiry, your right to use HILMS ends and you must stop using the Software and remove installations where required.

Sections that by nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.

SECTION 13 - CHANGES TO THESE TERMS

We may modify these Terms at any time by posting an updated version on this page. Changes take effect when posted. Continued use of the Site or Service after changes constitutes acceptance. Material changes may be noted by updating the “Last updated” date.

SECTION 14 - GOVERNING LAW

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts at Beawar, Rajasthan, India, unless otherwise required by mandatory consumer protection law in your jurisdiction.
